1. Who We Are and What We Provide

These Terms govern your use of the Commly platform. Commly provides a platform that allows users to create and manage communities, join communities, post content, participate in discussions, send messages, and access features including paid services.

2. Eligibility

You must be at least 16 years old to use the Platform.

3. Your Account

You are responsible for your account and all activity under it. You must not impersonate others or use the Platform unlawfully.

4. Communities and Community Owners

Users may create and manage communities. Community owners may set rules and moderate content within their communities.

However, Commly retains full control and may remove content or restrict access at any time, for any reason.

5. User Content

You retain ownership of content you post, but grant Commly a worldwide, non-exclusive, royalty-free licence to use it to operate the Platform.

You must not post unlawful content or content that infringes the rights of others.

6. Messaging and Communications

The Platform includes direct messaging and group chat features. Communications sent through the Platform may be processed and stored to provide and maintain these services.

7. Payments, Subscriptions and Digital Services

Commly may offer subscriptions, paid features, and access to paid communities or content. All payments are made to Commly as the merchant of record.

7.1 Billing and Subscriptions

Prices may change at any time. Subscriptions may auto-renew unless cancelled. You authorise us to charge your payment method.

7.2 Digital Content and Immediate Access

When you purchase digital services, access may begin immediately. To the extent permitted under the Consumer Contracts Regulations 2013, you may lose cancellation rights once access begins.

7.3 Refunds

Refunds are not guaranteed and are handled case-by-case. We may refuse refunds where services have been used. Your statutory rights are not affected.

7.4 Chargebacks and Disputes

If you initiate a chargeback, we may suspend your account, revoke access, and recover amounts owed.

7.5 Cancellation

You may cancel subscriptions at any time. Cancellation stops future billing, but access continues until the end of the billing period.

7.6 Changes to Paid Services

We may change pricing or features at any time.

7.7 Payment Failures and Fraud

We may restrict access if payments fail, fraud is suspected, or misuse is detected.

8. Community Monetisation

8.1 Platform Role

Commly processes payments and controls distribution. We are not a bank or trustee.

8.2 Revenue Sharing

We may share revenue with community owners. Terms may change and payouts may be adjusted or withheld.

8.3 Owner Responsibilities

Community owners are responsible for their offerings and compliance with applicable laws.

8.4 Refunds and Disputes

Commly handles refunds and may recover amounts from future payouts.

8.5 Enforcement

We may disable monetisation or withhold payments at any time for risk, abuse, or legal reasons.

9. Acceptable Use

You must not use the Platform unlawfully, harm others, or interfere with the service.

10. Suspension and Termination

We may suspend or terminate access at any time.

11. Platform Availability

We do not guarantee uninterrupted service.

12. Intellectual Property

All Platform rights belong to Commly.

13. Limitation of Liability

Nothing excludes liability under the the Consumer Rights Act 2015. To the extent permitted by law, we are not liable for indirect losses.

14. Changes to Terms

We may update these Terms at any time.

15. Governing Law

These Terms are governed by the laws of England and Wales.
